Unless and until the SCA ‘distinguishes’ Stopforth, and holds that a deposit, held in trust for a buyer is held for the buyer, rather than the seller, your deposit is not safe. I urge all buyers and estate agents to familiarise themselves with the ConCourt decision in Stopforth.

A buyer may as well pay the deposit to the seller, and rely on his good faith, to refund it if the sale falls through. There is no added security that comes from entrusting the deposit to an attorney because although it is held in the buyers name, it is in law the sellers money.

If the SCA holds that Stopworth means what the appellant says it means; namely that when a buyer pays a deposit into trust, it constitutes a payment to the seller. The entire basis on which buyers entrust conveyancers with their deposits collapses.

Buyers pay deposits, sometimes the entire purchase price into conveyancing attorneys trust accounts, in the confidence that if the sale does not go through and the property is not transferred to them, through no fault of their own, they will get their deposit back.

Because it is a ConCourt decision, unless it can be distinguished, it is binding on the SCA. At least one of the SCA judges, seemed to think it was. If the SCA follows Stopforth, it will have catastrophic consequences for buyers and the entire property transfer system in SA.

Counsel for the attorney placed heavy reliance on a judgment of the Constitutional Court (Stopworth v Royal Anthem, 2015) where the Court found, on similar facts that; “I consider the payment into the attorneys trust account ought to be regarded as payment to Royal (the seller)”.

The attorney subsequently paid the deposit plus the accrued interest to the seller. The High Court ordered the attorney to repay the deposit and interest to the buyer (my client). The attorney appealed to the SCA in Bloemfontein, where the appeal was argued today.
